Helen Naves is a corporate, banking, and finance lawyer in São Paulo with dual qualification in the State São Paulo (Brazil) and in New York State (USA).

For over two decades, Helen has worked as part of the legal team leading multinational financial institutions and as a partner in some of the most prestigious law firms in Brazil.

Helen Naves’ practice includes special legal advice in banking regulations, finance transactions, and capital markets.  She assists financial institutions and companies in finance and debt capital markets, as well as structuring, drafting and negotiation of banking agreements, collaterals, and other financial instruments, including derivatives, futures and international investments.

In addition to a differentiated legal practice, Helen holds leadership positions including Senior Vice-Chair of the New York State Bar Association (NYSBA) International Section and Co-President of the Brazil Chapter of the Fordham Law alumni (USA).

Since 2009, when Helen joined her first diversity and inclusion committee at a law firm in New York City, she has developed a profound awareness for diversity and inclusion initiatives, especially to promote and enhance career opportunities for female lawyers, and to facilitate mentoring, networking, professional development, and education for female lawyers.

Helen Naves has a bachelor’s degree in law from the University of Sao Paulo, a post-graduate degree in Securities Law, a Master’s in Commercial Law from the University of São Paulo – USP, and an LL.M. degree in Banking, Corporate, and Finance Law from Fordham University School of Law.

Project Finance

Assisted multiple corporate clients in international and local project financing, including for the High-Speed Train (TAV) project, as well as solar, wind, thermo and hydroelectric energy and transmission projects.

IPO e Follow-on

Assisted multiple issuers and underwriters in public offering of shares in Brazil and in the U.S., offered under Rule 144A and Reg S.

O3 Capital

Assisted O3 Capital in the negotiation of various agreements for domestic and international derivatives transactions, opening of accounts, and other structured investment products.

B3

Assisted B3 in the analysis of new products and services, infrastructure of markets, and other products for over-the-counter markets and listed products.

Banco BV

Represented Banco BV, as underwriter, in various public offerings of debt securities.

Eletrobras CGT Eletrosul

Represented Eletrobras CGT Eletrosul and other affiliated project companies in several issuances and public offerings of infrastructure debentures, as well as financing with BNDES.

Banco Safra

Represented Banco Safra, as underwriter, in various public offerings of debt securities.

As internal counsel, she represented Safra in syndicated debt restructuring, including Celesc, AES Eletropaulo, Light and BCP Telecom.

Banco Rendimento

Assisted Banco Rendimento in the analysis of new products and services, preparation of memoranda and contracts

Natura &Co

Represented Natura &Co Group in numerous issuances and public offerings of debt securities, including for the finance of the acquisitions of The Body Shop and Avon.

Banco Santander

Represented Banco Santander, as underwriter, in various public offerings of debt securities. She also assisted the Treasury with the analysis of new products, production of opinions, and review of agreements. As internal counsel, she represented Santander as issuer in various private placements of structured notes and credit linked notes, perpetual non-cumulative junior subordinated securities, subordinated debt in the form of CDB Subordinado, Euro Medium-Term Note Program, and diversified payment rights securitization programs.
